Danamon Shareholders Approve All AGMS 2026 Agendas
Jakarta, 31 March 2026 – PT Bank Danamon Indonesia Tbk (“Danamon” or “the Company”, IDX: BDMN), a member of MUFG, a global financial group, today hosted its 2026 Annual General Meeting of Shareholders (“AGMS”). In this AGMS, shareholders approved all proposed agendas, including a planned dividend payment of 35% of the Company’s 2025 net profit after tax and changes to the Company’s management.
Yasushi Itagaki, President Commissioner of the Company, explained, “Today’s AGMS forms part of Danamon’s implementation of good corporate governance, in which shareholders approved all proposed agenda items. Danamon will continue to grow in line with the Company’s strategic direction, maintain customers’ trust as their financial solutions provider, and contribute to the advancement of the financial services industry and the growth of the Indonesian economy.”
Among all agendas approved, the AGMS approved a cash dividend payment of Rp142.19 per share, with an amount of approximately Rp1.4 trillion. This amount represents 35% of Danamon’s net profit after tax and minority interests recorded in the fiscal year ended 31 December 2025 of Rp4.0 trillion. Further information relevant to this dividend payment will be announced in due course.
Furthermore, the AGMS resolved changes to the Company’s Management. Nobuya Kawasaki, Commissioner of the Company; Peter Benyamin Stok, Independent Commissioner of the Company; Daisuke Ejima, President Director of the Company; and Honggo Widjojo Kangmasto, Vice President Director of the Company, ended their terms of office at the closing of the AGMS and were not reappointed for a new term.
The AGMS approved the appointment of Muliadi Rahardja as Independent Commissioner of the Company and Takeo Shimotsu as Commissioner of the Company, effective after receiving OJK’s approval through a fit and proper assessment. The AGMS also approved the appointment of Nobuya Kawasaki as President Director, which was approved by OJK through a fit and proper assessment, as well as the appointment of other Members of the Board of Commissioners, the Board of Directors, and the Sharia Supervisory Board who ended their terms of office for a new term.
“On behalf of the Board of Commissioners, I thank Mr. Peter Benyamin Stok, Mr. Daisuke Ejima and Mr. Honggo Widjojo Kangmasto for their service as Independent Commissioner, President Director and Vice President Director of the Company, leading Danamon’s growth journey into its current state. I also congratulate Mr. Takeo Shimotsu, Mr. Muliadi Rahardja, and Mr. Nobuya Kawasaki for their appointments and wish them all the best in their new roles,” added Itagaki.
Therefore, shareholders approved the composition of the Board of Commissioners, the Board of Directors, and the Sharia Supervisory Board of the Company for the terms of office beginning at the closing of the Company’s AGMS in 2026 until the closing of the Company’s AGMS in 2029, without prejudice to the right of the GMS to terminate at any time, with the following composition:
